These Terms of Service ("Terms") govern your use of the Call Den website and AI-powered call handling services ("Service") operated by SHOPSTACK LLC, a Florida limited liability company doing business as Call Den, located at 350 N Main St, Winter Garden, FL 34787 ("we," "us," or "our"). By using our Service, you agree to these Terms.
1. Service Description
Call Den provides AI-powered call answering, lead qualification, call routing, appointment booking, and lead notification services for businesses. Our AI system answers incoming calls on your behalf, engages callers in natural conversation, and delivers qualified lead information to you.
2. Account & Eligibility
- You must be at least 18 years old and authorized to act on behalf of your business
- You are responsible for maintaining the confidentiality of your account
- You must provide accurate, current information during registration
- One business per account unless otherwise agreed
3. Subscription & Billing
- Services are billed monthly on a subscription basis
- Pricing is as listed on our website at the time of purchase
- Payments are processed through our third-party payment provider
- Subscriptions renew automatically unless canceled
- All new accounts begin with a 14-day free trial. No payment method is required during the trial, and no charge is made unless you choose to upgrade
- You may cancel at any time. Cancellation takes effect at the end of the current billing period and you retain access until then
- We do not refund or prorate partial months once a billing period has begun. Discretionary refunds for service failure or billing error are described in our Refund & Cancellation Policy
- We reserve the right to change pricing with 30 days' notice
4. Call Volume & Overage
- Each plan includes a specified number of calls per month
- Calls exceeding your plan limit may be charged at an overage rate or may not be answered, depending on your plan configuration
- We will notify you when you approach your call limit
5. Your Responsibilities
- Provide accurate business information for AI script configuration
- Ensure your use of the Service complies with all applicable laws, including telemarketing and call recording regulations in your jurisdiction
- You are responsible for obtaining any required consents from callers in your jurisdiction
- Do not use the Service for any illegal, fraudulent, or abusive purpose
6. AI Disclosure
Our Service uses artificial intelligence to handle calls. We include an AI disclosure in call interactions where required by law. You acknowledge that callers are interacting with an AI system and agree that you are responsible for compliance with any local regulations regarding AI-assisted communications.
7. SMS, A2P 10DLC & Contact Consent
Call Den Notifications — When you opt in to SMS notifications, you will receive automated text messages about new leads, missed calls, and appointment bookings at the phone number you provide.
- Message frequency: Varies based on call volume, typically 1–20 messages per week.
- Message and data rates may apply.
- Opt-out: Reply STOP to any message to cancel. Or disable SMS in your dashboard.
- Help: Reply HELP for assistance, or contact hello@thecallden.com.
- SMS consent is not shared with third parties or affiliates for marketing purposes.
- You are responsible for maintaining any required carrier registration and SMS compliance.
8. Florida & Call Recording Compliance
You are responsible for ensuring your call flow includes any disclosures or consent required by law before recording or transcribing calls. This matters especially in two-party-consent states such as Florida.
9. Call Recordings & Data
- Calls handled by our Service may be recorded and transcribed
- Recordings and transcripts are provided to you as part of the Service
- We retain call data as described in our Privacy Policy
- You are responsible for handling caller data in compliance with applicable privacy laws
10. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for interruptions due to maintenance, third-party provider issues, or circumstances beyond our control.
11. Intellectual Property
All content, branding, technology, and AI models used in the Service are owned by Call Den. You retain ownership of your business data and caller information collected through the Service.
12. Limitation of Liability
To the maximum extent permitted by law: Call Den is not liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount you paid us in the 3 months preceding the claim. We are not responsible for missed business opportunities resulting from service limitations.
13. Indemnification
You agree to indemnify and hold harmless Call Den from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
14. Termination
- You may cancel your subscription at any time
- We may suspend or terminate your account for violation of these Terms
- Upon termination, your data will be retained for 30 days, after which it may be deleted
15. Modifications
We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use constitutes acceptance.
16. Governing Law & Venue
These Terms and any dispute arising out of or relating to the Service are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and SHOPSTACK LLC consent to the exclusive jurisdiction and venue of the state courts located in Orange County, Florida, and the United States District Court for the Middle District of Florida.
